Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between TwoWorks Ventures (“TwoWorks”, “we”, “our”, or “us”) and the entity or individual subscribing to or accessing our intelligent ERP platform, custom software, APIs, or consultative engineering services (“Customer”, “you”, or “your”).

1. Acceptance of Terms & Order Forms

By executing an Order Form, Statement of Work (SOW), registering an account, or accessing the TwoWorks platform, you affirm that you have read, understood, and agreed to be bound by these Terms. If you are entering into these Terms on behalf of a corporation or other legal entity, you represent and warrant that you possess the requisite authority to bind that organization.

2. Subscription Licenses & Provision of Services

Subject to the terms and payment conditions specified in the applicable Order Form:

• License Grant: TwoWorks grants Customer a non-exclusive, non-transferable, non-sublicensable worldwide license to access and operate the licensed ERP modules during the active subscription term.
• Service Level Agreement (SLA): Production environments operate under a guaranteed 99.9% uptime SLA, excluding scheduled maintenance communicated at least 48 hours in advance.
• Custom Architectures: Custom-built connectors, API schemas, and proprietary business logic developed under an SOW remain governed under client-specific IP agreements where designated.

3. Customer Responsibilities & Acceptable Use

The Customer covenants and agrees that it shall not:

• Reverse engineer, decompile, or disassemble any portion of the TwoWorks binary or source infrastructure.
• Circumvent user authentication, rate limit protections, or multi-tenant database boundaries.
• Use the platform to process, transmit, or store illicit material, malicious payloads, or data violating statutory intellectual property protections.
• Share root administrative credentials outside designated authorized users.

4. Data Ownership & Intellectual Property

Customer Data: The Customer retains sole and exclusive ownership of, and all intellectual property rights in, all data, databases, customer files, and operational records submitted to the platform.

TwoWorks Platform IP: TwoWorks retains all rights, title, and interest in and to the TwoWorks core codebase, algorithms, user interfaces, documentation, and underlying machine learning models.

5. Fees, Invoicing & Payment Terms

• Payment Schedules: Subscription fees, implementation charges, and dedicated architect retainer tiers are billed pursuant to the agreed schedule (Monthly, Quarterly, or Annually).
• Taxes: Fees are exclusive of applicable GST, VAT, or local withholding taxes, which shall be assessed and added to invoices in accordance with governing legislation.
• Late Payments: Overdue balances exceeding 30 calendar days may be subject to a service suspension notice with a 15-day remediation grace period.

6. Confidentiality & Non-Disclosure

Both parties agree to treat all business data, architectural schematics, pricing models, and trade secrets disclosed during the engagement as strictly Confidential Information. Neither party will disclose such information to third parties without prior written consent, except to employees, contractors, and legal advisors bound by reciprocal obligations.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall either party be liable for any indirect, incidental, punitive, or consequential damages (including loss of profits, revenue, or business interruption). TwoWorks’ total aggregate liability arising out of or related to these Terms shall not exceed the total fees paid by Customer in the twelve (12) months preceding the incident.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, claim, or controversy arising out of or relating to this agreement shall be submitted to binding arbitration in Nashik, Maharashtra, conducted in the English language pursuant to the Arbitration and Conciliation Act, 1996.
